Terms of Service
These Terms of Service describe the rules for accessing and using WisScope, an organization-based construction management SaaS product for commercial contractors and trade contractors.
These terms are written in plain English, but they are still intended to be a binding agreement between WisScope and the customer or user accessing the service.
1. Acceptance of Terms
These Terms of Service govern access to and use of WisScope. By creating an account, accessing WisScope, or using the service on behalf of an organization, you agree to these terms.
If you use WisScope for a company or other organization, you represent that you have authority to accept these terms on behalf of that organization. If you do not agree, do not use WisScope.
2. Business-Use Software
WisScope is construction management software designed for commercial contractors, trade contractors, and business teams. It is not intended for personal, household, or consumer use.
WisScope helps teams organize estimating jobs, active jobs, completed jobs, contacts, schedules, notes, tasks, RFIs, submittals, project documents, photos, materials, and related operational information.
3. Account Responsibilities
Users are responsible for keeping login credentials secure and for all activity that occurs under their accounts. You must provide accurate account information and keep it reasonably up to date.
You should notify WisScope promptly if you believe an account has been compromised or used without authorization.
4. Organization Ownership and Permissions
WisScope accounts are organized around customer workspaces. Organization owners and administrators may invite users, assign roles, manage permissions, update company settings, and control access to organization data.
WisScope may support roles such as Owner, Admin, Member, and Field. The organization is responsible for deciding which users should receive each role and for removing access when users leave the company or no longer need access.
5. User-Generated Content and Customer Data
Customers and users retain ownership of the project data, job data, files, photos, documents, contacts, notes, schedules, RFIs, submittals, tasks, materials, and other content they upload or enter into WisScope.
You grant WisScope the limited right to host, store, process, transmit, display, and otherwise use customer data as needed to provide, secure, support, and improve the service.
You are responsible for ensuring that you have the necessary rights and permissions to upload or enter customer data into WisScope, including any information about employees, customers, vendors, subcontractors, jobsites, or other third parties.
6. Acceptable Use
You may not use WisScope to upload illegal, harmful, abusive, defamatory, infringing, malicious, or deceptive content. You may not use WisScope to violate laws, contracts, privacy rights, intellectual property rights, or the rights of others.
You may not attempt to disrupt WisScope, bypass security controls, reverse engineer non-public parts of the service, access data without authorization, interfere with other customers, or use WisScope to distribute malware or harmful code.
7. Subscription and Billing Terms
WisScope may be offered as a paid subscription. Billing is handled through Stripe. By starting a paid subscription, you authorize the applicable charges for the selected plan, billing period, taxes, and any other amounts shown during checkout or account setup.
Payment terms, pricing, billing intervals, and subscription details may be presented in WisScope, Stripe checkout, or written order materials. You are responsible for keeping billing information current.
8. Trial Terms
WisScope may offer a trial period. Trial length, features, and conversion to paid billing may be described during signup or checkout. Unless stated otherwise, access may be limited, changed, or ended when a trial expires.
If payment information is required for a trial, billing may begin when the trial period ends unless the subscription is canceled before that time according to the cancellation process available for the account.
9. Cancellation Policy
You may cancel a subscription through the available billing or account controls, or by contacting WisScope through the appropriate account or support channel. Cancellation does not automatically refund past charges unless required by law or stated in a written agreement.
After cancellation, access may continue until the end of the current billing period unless the account is terminated earlier under these terms. WisScope may retain certain records for billing, security, legal, backup, or operational purposes.
10. Intellectual Property
WisScope and its software, design, branding, workflows, and related materials are owned by WisScope or its licensors. These terms do not transfer ownership of WisScope intellectual property to customers or users.
Customers retain ownership of their customer data. Feedback, suggestions, or ideas provided to WisScope may be used to improve the service without obligation to compensate the person or organization providing that feedback.
11. Third-Party Services
WisScope relies on third-party providers such as Stripe for billing, AWS S3 for file storage, Neon for database hosting, and Resend for email delivery. Use of WisScope may involve these providers processing information as needed to operate the service.
WisScope is not responsible for third-party services outside its control, but we choose providers to support core service operations.
12. Service Availability Disclaimer
WisScope aims to provide a useful and reliable service, but we do not guarantee that the service will be uninterrupted, error-free, or available at all times.
Access may be affected by maintenance, updates, outages, internet issues, customer configuration, provider interruptions, or events outside WisScope's control.
13. Warranty Disclaimer
WisScope is provided on an as-is and as-available basis to the fullest extent allowed by law. We disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.
WisScope does not guarantee that project information entered by users is accurate, complete, or suitable for any particular construction, legal, financial, safety, or compliance decision.
14. Limitation of Liability
To the fullest extent allowed by law, WisScope will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or replacement services.
To the fullest extent allowed by law, WisScope's total liability for claims related to the service will be limited to the amount paid by the customer to WisScope for the service during the three months before the event giving rise to the claim, or one hundred dollars if no amount was paid.
15. Indemnification
You agree to defend, indemnify, and hold WisScope harmless from claims, damages, liabilities, costs, and expenses arising from your customer data, your use of WisScope, your violation of these terms, or your violation of laws or third-party rights.
This obligation applies to the extent permitted by law and does not require you to indemnify WisScope for claims caused solely by WisScope's own willful misconduct.
16. Termination
WisScope may suspend or terminate access if an account violates these terms, creates security or legal risk, fails to pay required fees, misuses the service, or could harm WisScope, customers, users, or third parties.
Customers may stop using WisScope or cancel according to the available cancellation process. Certain terms, including payment obligations, intellectual property, warranty disclaimers, limitation of liability, indemnification, and governing law, may continue after termination.
17. Governing Law
These terms are governed by the laws of [State/Country], without regard to conflict of law rules. This placeholder should be replaced with the correct governing law and venue before production launch.
18. Changes to These Terms
WisScope may update these terms from time to time. If we make material changes, we will update the last updated date and may provide notice through WisScope or other reasonable means.
Continued use of WisScope after updated terms become effective means you accept the updated terms.
